Regards, Brian MINUTES OF AS220 BOARD MEETING June 10, 2008 Present: Matthew Cullina, Marlaine Noel, Clay Rockefeller, Brian Jepson, Kipp Bradford, Richard Welch, Jonathan Bonner, Seth Price, Kara Orr Guests: David and the whole Rhode Show Staff: Bert Crenca, Lucie Searle, Shawn Wallace, David Ortiz, Xander Marro Absent with prior notice: Michael Chazan, Sam Seidel, Adeola Oredola Absent without notice: Manny Vales, Pich Chhoeun, John Scott, Laura Travis. 0. Call to Order 6:12 PM 1. The Rhode Show has a new CD and has asked board members to sell five copies (or more!) each. We were also treated to a performance. If you didn't get some CDs to sell, contact David Gonzalez at DHGonzalez at aol.com 2. Approval of minutes from previous meeting. MOTIONED: Jonathan SECONDED: Marlaine SO MOVED 3. Financial Report YTD through April On the general operations side, things are evened out: * Gallery sales down by roughly $4k * Interest income decline is offset by maturing CD (net decline of about $500) * Workers Comp fees up slightly * Cost of sales up at bar, prices being raised to account for this * Bar expenses were underbudgeted. * Broad Street Studio is on track financially. * Print shop, As220.org, PhotoMem, and Design Providence: All slightly over budget (between $1000 and $3000 behind) Bottom line: we expect to be carrying forward a deficit of between $20,000 and $30,000 at the end of the fiscal year. 4. Mercantile block update VOTE requested: Authorization to engage Barbara Sokoloff Associates to provide comprehensive financial consulting services required for AS220's redevelopment of the Mercantile Block, as set forth in the proposal dated 3/14/2008. The total fee for the proposed services is $60,000 (sixty thousand dollars). MOTIONED: Seth Price SECONDED: Jonathan Bonner SO MOVED. 5. Artistic Director's Report * Introduction of David Ortiz, AS220's Development Director. * Report on plans for Fab Lab. Shawn presented a proposal for a Fabrication Lab in AS220. The complete proposal is available from Shawn. * HR update. Bert presented a handout with some thoughts on policies around Leave, Education, Insurance, and other topics. 6. Managing Director's Report * Update on Fool's Ball There's an incentive program for people who sell lots of tickets: five different prizes for the people who sell the most. 7. Print Shop Manager Report * Update on September Fundraiser Morgan distributed the materials for the September Print Shop fundraiser, the Print Lottery. The print shop will be reaching out to local print artists for participation, and if you know of anyone who we should contact, contact Morgan. Also, Morgan is looking for corporate sponsors.
